CONTEST DESCRIPTION

The Teavana Summer In New York is a contest whereby consumers will be directed to submit a photograph of themselves enjoying a tea drink at their favorite New York summer location and post it on the official Teavana Facebook page, if they have not already done so, click “Like” to like the Page. The eight submissions with the most Facebook “Likes” will be eligible for the prize as described below.

CONTEST DATES

The Contest begins on June 30, 2014 at 12:00:00 AM Eastern Time (“ET”), and ends on July 2, 2014 at 11:59:59 PM ET (the “Contest Period”).

CONTEST ENTITIES

The Contest is sponsored by Teavana Corporation, 3630 Peachtree Rd NE, Suite 1480, Atlanta, GA 30326 (the “Sponsor”).

ELIGIBILITY

This Contest is open only to persons legally residing in the 50 United States who have reached the age of majority in their home state of residence at time of entry in this Contest and have a valid Facebook account. Employees, officers, and directors of the Sponsor, and its respective, subsidiaries, affiliates, agents and parent corporation (collectively, the “Contest Entities”) and the immediate family members (parent, child, sibling, and spouse of each) of and/or persons living in the same household as such individuals (whether related or not) are not eligible to participate. This Contest is void where prohibited by law.

HOW TO ENTER

To enter, you’ll first need to become a registered user of www.facebook.com (“Facebook”) or log in to your Facebook account. If you do not have a Facebook account, go to www.facebook.com to create one. Facebook accounts are free. By submitting your information and creating a Facebook account, you agree to the Facebook Terms and Policies located at https://www.facebook.com/policies. If you do not agree to these Terms and Policies, you cannot create a Facebook account, or participate in this Contest. Access the Page and upload your photograph of you enjoying your tea drink at your favorite New York summer location during the Contest Period. You will need an internet connection to access to complete this step. Limit of one (1) Entry per person/Facebook account throughout the entire Contest Period.

Entry submission must be created solely by the person who is submitting the Entry (“Entrant”). ALL ENTRIES MUST MEET THE ELIGIBILITY CRITERIA SET FORTH ABOVE. BY PARTICIPATING IN THIS CONTEST, EACH ENTRANT AGREES TO COMPLY WITH THESE OFFICIAL RULES.

Sponsor and/or its designated representatives, will review all entry submissions received during the entry submission period on the Page and will only allow those entry submissions on the Page for Public Voting that conform to these Official Rules and the Terms of Use and Code of Conduct (collectively, the “Official Rules”), as determined by the Sponsor in its sole discretion (“Eligible Entry Submissions”). Entries that do not comply with these Official Rules, as determined in Sponsor’s sole discretion, will be disqualified from the Contest. Decisions of the Sponsor are final and binding.

ENTRY TERMS

By submitting your Entry, Entrant agrees to comply with the Contest Official Rules. Additionally, Entrant warrants that his/her, Entry submission, and all elements thereof satisfy these Contest Official Rules, by warranting the Entry submission in this Contest:

  • Is the original work of the Entrant.
  • Has not previously been published or won an award or prize of any kind.
  • Does not infringe or violate the rights of any third party, including but not limited to, copyrights, trademarks, patents, trade secrets, logos, contract and licensing rights, rights of publicity or privacy, moral rights, or any other intellectual property rights.
  • Is not subject to any third-party agreements, and that the Sponsor will not be required to pay or incur any sums to any person or entity as a result of their use, exhibition, or exploitation of the idea, music or elements therein.
  • Does not contain any content that is likely to be considered offensive by Sponsor or could adversely affect the name, reputation, or goodwill of the contest entities.
  • Does not feature, refer to, or mention any competing brands of the Sponsor.
  • Entries may only be submitted by a single Entrant. If Sponsor determines in its sole discretion that an Entrant has breached a representation or warranty, the Entry will be disqualified.
  • PUBLIC VOTING

    Entrants who submit an eligible Entry into the Contest during the Contest Period on the Page will be entered into the Contest where visitors to the Page can “Like” their favorite photograph. The eight (8) Entrants with the most “Likes” for their eligible Entry at the end of the Contest Period will be deemed the winners (each, a “Prize Winner”). In the event of a tie, all tied entries will be re-judged by an additional judge selected by Sponsor who will break the tie using the following judging criteria (the “Judging Criteria”):

    • Appropriateness for tea theme (50% of total score)
    • Feasibility of idea (40% of total score)
    • Original and Creative (10% of total score)
    • NOTIFICATION OF THE PRIZE WINNERS

      The potential Prize Winners will be notified by direct reply to picture comment by Sponsor on or about July 2. The potential Prize Winners may be required to sign and properly execute additional documents; i.e. a Verification of Eligibility, related to participation in this Contest and return them via e-mail or facsimile to Sponsor. In the event that a potential Prize Winner cannot be contacted or if a potential Prize Winner fails to properly execute and return all documents described herein in the time noted, or if potential Prize Winner declines to accept the prize, or if a potential Prize Winner is found not to be eligible or not in compliance with these Official Rules, that potential Prize Winner will be disqualified and the next highest scoring finalist may be declared the alternate potential Prize Winner, subject to all verification and eligibility requirements of these Official Rules. In the event a potential Prize Winner is disqualified for any reason, the Sponsor may award the prize to an alterne Entrant, in its sole discretion, based on the Judging Criteria detailed above even if the disqualified potential Winner's name or entry submission may have been shown or announced online. In the event that the next finalist cannot be contacted or if the next finalist fails to properly execute and return all documents described herein in the time noted, or if any finalist declines to accept the prize, or if a finalist is found not to be eligible or not in compliance with these Official Rules, that finalist will be disqualified and the next highest scoring entry will be notified. This process will continue, timing permitted, until a Prize Winner has been confirmed.

      CONTEST PRIZES

      Eight (8) Sets of Two (2) Tickets to the New York Philharmonic Concert in the Park or either July 11th or July 14th. Prize Winners shall be responsible for all travel expenses.

      All details of prizes not specified herein shall be determined solely by Sponsor and prize provider. Winner cannot assign or transfer the prize to another person. Except as provided herein, no cash or prize substitution is allowed except at the discretion of Sponsor, who reserves the right to substitute a prize (or prize component) with one of comparable or greater value. If a prize cannot be awarded due to circumstances beyond the control of Sponsor and/or prize provider, a substitute prize of equal or greater retail value will be awarded; provided, however, that if prizes are awarded but unclaimed or forfeited by recipient, prize may not be re-awarded, in Sponsor’s sole discretion. By accepting prize, Prize Winners acknowledge compliance with these Official Rules.

      ADDITIONAL CONTEST TERMS

      By entering this Contest, and to the extent allowed by law, Entrants grant Sponsor and its affiliates, licensees, promotional partners, and third-party marketing entities the absolute right and permission to edit, modify, cut, rearrange, add to, delete from, copy, reproduce, translate, dub, adapt, publish, exploit, and use the content of and elements embodied in the entry submissions, entries, and the entries themselves, in perpetuity in any and all media, including but not limited to digital and electronic media, computer, audio and audiovisual media (whether now existing or hereafter devised), in any language, throughout the world, and in any manner, for trade, advertising, promotional, commercial, or any other purposes without further review, notice, approval, consideration, or compensation.

      WAIVER, RELEASE, AND LIMITATION OF LIABILITY

      Entrants waive and release Sponsor and its affiliates from any and all claims that Entrants may now or hereafter have in any jurisdiction based on “moral rights” or “droit moral” or unfair competition with respect to Sponsor’s exploitation of entries without further notification or compensation to Entrants of any kind, and agree not to instigate, support, maintain, or authorize any action, claim, or lawsuit against Sponsor and each of its affiliates, licensees, or any other person in connection with this Contest, on the grounds that any use of any entry, or any derivative works, infringe, or violate any of Entrants rights therein. By entering this Contest, Entrants agree that Sponsor and each of its affiliates, licensees, promotional partners, and third-party marketing entities shall have the right and permission to use their name, picture, voice, biographical data, photograph, testimonial, or other likeness and/or prize information or personal exposition (and/or any edited portion thereof), and/or any information contained in his or her entry submission for promotional, advertising, and/or publicity purposes in any media, now or hereafter known, throughout the world in perpetuity, without compensation or notice to, or further consent of, the Prize Winner to the extent permitted by law. Sponsor will not enter into any correspondence, including e-mail, with non-winning Entrants. The Contest Entities reserve the right, in their sole discretion, to disqualify any individual found tampering with the entry process or entry materials or otherwise interfering with the proper administration of the Contest or violating these Official Rules.

      EACH ENTRANT ACCEPTS THE CONDITIONS STATED IN THESE OFFICIAL RULES, AGREES TO BE BOUND BY THE DECISIONS OF THE PUBLIC VOTING (AND JUDGES, IF APPLICABLE), WARRANTS THAT HE OR SHE IS ELIGIBLE TO PARTICIPATE IN THIS CONTEST, AND AGREES TO RELEASE, INDEMNIFY, AND HOLD HARMLESS CONTEST ENTITIES AND EACH OF THEIR PARENT COMPANIES, DIVISIONS, SUBSIDIARIES, AFFILIATES, ADVERTISING, PROMOTION, AND PUBLIC RELATIONS AGENCIES, AND THE RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, REPRESENTATIVES, AND AGENCIES OF EACH FROM AND AGAINST ANY AND ALL CLAIMS, LOSSES, LIABILITY, AND DAMAGES OF ANY KIND, (INCLUDING REASONABLE ATTORNEYS’ FEES AND EXPENSES) ASSERTED AGAINST ANY OF THEM, INCURRED, SUSTAINED, OR ARISING IN CONNECTION WITH THE USE, ACCEPTANCE, MISUSE, OR DONATION OF THE PRIZE OR WHILE PREPARING FOR, PARTICIPATING IN, AND/OR TRAVELLING TO OR FROM ANY CONTEST-RELATED ACTIVITY, INCLUDING, WITHOUT LIMITATION, ANY INJURY, DAMAGE, DEATH, LOSS, OR ACCIDENT TO PERSON OR PROPERTY, OR FROM THE RESPECTIVE ENTRANTS’ BREACH OF ANY AGREEMENT OR WARRANTY ASSOCIATED WITH THE CONTEST, INCLUDING THESE OFFICIAL RULES.       Each Entrant hereby acknowledges and agrees that the relationship between the Entrant and the Contest Entities is not a confidential, fiduciary, or other special relationship, and that the Entrant’s decision to provide the Entry submission to Sponsor for purposes of the Contest does not place the Contest Entities in a position that is any different from the position held by members of the general public with regard to elements of the entry Submission, other than as set forth in these Official Rules. Each Entrant understands and acknowledges that the Contest Entities have wide access to ideas, stories, designs, and other literary materials, and that new ideas are constantly being submitted to it or being developed by their own employees. Each Entrant also acknowledges that many ideas or stories may be competitive with, similar to, or identical to the Entry submission and/or each other in theme, idea, plot, format, or other respects. Each Entrant acknowledges and agrees that such Entrant will not be entitled to any compensation as a result of contest entities' use of any such similar or identical material that has or may come to Contest Entities, or any of them, from other sources. Each Entrant acknowledges and agrees that the Contest Entities do not now and shall not have in the future any duty or liability, direct or indirect, vicarious, contributory, or otherwise, with respect to the infringement or protection of the Entrant’s copyright in and to the Entry. Finally, each Entrant acknowledges that, with respect to any claim by Entrant relating to or arising out of any Contest Entities' actual or alleged exploitation or use of any submission or other material submitted in connection with the Contest, the damage, if any, thereby caused to the applicable Entrant will not be irreparable or otherwise sufficient to entitle such Entrant to seek injunctive or other equitable relief or in any way enjoin the production, distribution, exhibition, or other exploitation of any program, Website, advertising, materials or other thing based on or allegedly based on the Entry submission, and Entrant’s rights and remedies in any such event shall be strictly limited to the right to recover damages, if any, in an action at law.

      Each Entrant hereby acknowledges and agrees that the Sponsor’s trademark, logo, and trade name (collectively “Marks”) are the exclusive property of Sponsor. Each Entrant further acknowledges and agrees that Sponsor’s Marks are valid and enforceable, and that Entrant shall do nothing to challenge the validity or enforceability of Sponsor’s Marks in any forum. Entrants agree that the use of Sponsor’s Marks is permitted only for the purpose of making an Entry submission for Entry in this Contest, and that any use of Sponsor’s Marks (whether in the entry Submission or otherwise) beyond this scope infringes the rights of Sponsor and will result in irreparable harm to Sponsor.

      This Contest is subject to all federal and local laws/regulations. Any and all legal actions or claims arising in connection with this Contest must be brought in a court of competent jurisdiction in the State of Washington.

      INTERNET

      Entrants further agree that the Contest Entities and any of their respective parents, subsidiaries, affiliates and each of their respective officers, directors, shareholders, agents and employees, and any Internet access providers (collectively “Released Parties”) are not responsible for the following: (a) Electronic transmissions, Entries or submissions that are lost, late, stolen, incomplete, illegible, damaged, garbled, destroyed, misdirected or not received by Sponsor or its agents for any reason; (b) Any problems or technical malfunctions, errors, omissions, interruptions, deletions, defects, delays in operation or transmission, communication failures and/or human error that may occur in the transmission, receipt or processing of entries or related materials; or for destruction of or unauthorized access to, or alteration of, entries or related material; (c) Failed or unavailable hardware, network, software or telephone transmissions, damage to Entrants’ or any person’s computer and/or its contents related to or resulting from participation in this Contest, or (d) Causes beyond Sponsor’s reasonable control that jeopardize the administration, security, fairness, integrity, or proper conduct of this Contest; (e) Any Entries submitted in a manner that is not expressly allowed under these rules (all such Entries will be disqualified); (f) Any printing errors in these Official Rules or in any advertisements or correspondence in connection with this promotion. Sponsor reserves the right, in its sole discretion, to cancel or suspend this Contest should virus, bugs, fraud, hacking, or other causes beyond the control of the Sponsor corrupt the administration, security, or proper play of the Contest. In such cases, notice to this effect will be posted on the Page at https://www.facebook.com/teavana and Prize Winner(s) will be determined from all eligible entries received prior to cancellation. If, in Sponsor's opinion, there is any suspected or actual evidence of electronic or non-electronic tampering with any portion of the contest or if technical difficulties compromise the integrity of the Contest, the Sponsor reserves the right to void suspect Entries and/or votes and/or terminate the Contest and award the prizes in its sole discretion. The use of any automated launching or entry software or any other mechanical or electronic means that permits the participant to automatically enter or vote repeatedly is prohibited. In the event of a dispute as to the identity of an Entrant based on an e-mail address, the entry in question may be disqualified subject to the judges’ discretion.
